New Tax Legislation for International Business Companies

As from 01.06.2002 the house of Parliament of Cyprus introduced new tax legislation for International Business Companies. As from 01.01.2003 all companies registered after 31.12.2001 will be taxed at the rate of 10%. Companies registered before 31.12.2001 and have declare income will be taxed with the rate of 4.25% until 2005.

Below we give you the main provisions of the new tax law:

  • The definition of resident of Cyprus is introduced. A company is resident in Cyprus if its management and control is in Cyprus.
  • There is no longer a distinction between local companies and International business companies (IBCs). The taxable profits of all Cypriot companies will be taxed at the rate of 10%. Existing IBCs that had income from their activities at 31 December 2001 can choose to be taxed with the rate of 4,25% until the end of the fiscal year 2005 (but certain tax exemptions provided by the new legislation will not be available).
  • Dividend income from abroad and from Cyprus is wholly exempt from corporation tax.
  • Profits earned from a permanent establishment abroad are fully exempt from corporation tax.
  • No taxation on the profits from the disposal of securities for all the companies that are residents of Cyprus. “Securities” are defined as shares, bonds debentures founders` shares and other securities of companies or other legal persons, incorporated under the law in Cyprus or abroad and options thereon.
  • Abolition of the 5 year restriction for the carrying forward of losses. No time restriction on the carrying forward of losses.
  • Losses of a company can be set off against profits of another company of the same group.
  • In order to conform with EU, the new tax legislation adopts the appropriate EU directive which enables without tax implications reorganizations, mergers acquisition and amalgamations of companies.
  • Abolition of 10% minimum tax on utilization of losses brought forward from previous years.
  • 50% of the interest income of a company resident of Cyprus is exempt from corporation tax. However interest income earned from the trading activities of a company is fully taxable.
  • For 2002, 20% of the interest income earned by a company resident of Cyprus is exempt from corporation tax.
  • Abolition of reduced rates for Income Tax for profits from exports.
  • Abolition of exemptions available for the importation of foreign exchange from activities abroad.
  • No withholding tax on the payment of dividends, interest and royalties to non-resident of Cyprus.
  • There are special rules for an additional special tax for 2002, 2003 and 2004 for semi-government bodies and companies that are not controlled by foreigners.

Special contribution of defence for entities

  • Abolition of special contribution for defence for companies.
  • Dividend income is subject to special contribution for defence at the rate of 15% in the case where the shareholder is resident of Cyprus. In the case where a company resident of Cyprus does not proceed with the distribution of a dividend two years after the end of the fiscal year on which profits have been earned, 70% of the profit will be considered as distributed (deemed distribution). In the case where the shareholder is non-resident of Cyprus there is no deemed distribution of dividends.
  • Interest income is subject to special contribution for defence at the rate of 10% in the case when the company is resident of Cyprus. Interest income earned from usual trading activities is not subject to special contribution for defence (from 1 July 2002).

Income tax for individuals

  • An individual is resident of Cyprus if he lives in Cyprus for one or more periods which exceed the total of 183 days per fiscal year.

  • Dividend income from abroad and from Cyprus is fully exempt from income tax.
  • The whole amount of interest income is fully exempt from income tax. For 2002, interest income of CYP600 plus 50% of amount exceeding CYP600 is exempt from income tax.
  • No taxation on the profits from the disposal of securities for individuals that ate residents of Cyprus. “Securities” are defined as shares, bonds debentures founders’ shares and other securities of companies or other legal persons, incorporated under the law in Cyprus or abroad and options thereon.
  • Abolition of personal allowances and deductions for individuals who are residents of Cyprus including married allowances and allowances for children. Social grants will be provided in lieu of the allowances abolished.
  • Abolition of reduced income tax rates for expatriates working in international business companies. For non-Cyprus residents taking up employment in Cyprus a special exemption from income tax will apply for the first three years of their employment in Cyprus amounting to 20% of income earned or CYP5.000 per annum whichever is the lower.
  • Profits of an individual earned from permanent establishment abroad are wholly exempt from income tax.

Special contribution for defence on individuals

  • Abolition of special contribution for defence on employees, self-employed persons and retirees (from 1July 2002).
  • Dividend income is subject to special contribution for defence at the rate of 15% in case where the shareholder is resident of Cyprus.
  • Interest income is subject to special contribution for defence at the rate of 10% in case where the individual is resident of Cyprus.

In case where the total annual income including interest income does not exceed CYP7.000, the interest income is subject to special contribution for defence of 3%. Individuals earning interest income from saving bonds, development bonds and deposits with the Housing Finance Corporation including interest earned by a provident fund will be subject to special contribution for defence at 3% (from 1 July 2002).

Value Added Tax (VAT)

  • VAT rate is increased from 10% to 13% as from 1 July 2002.

Risale all’8 febbraio 1869 una ordinanza che ha abolito le tassazioni dirette, sia personali che sui beni e sugli affari.
Non esiste imposta sul reddito delle persone fisiche, imposta sui guadagni da capitale o sul patrimonio. Esiste però tassazione diretta per i cittadini francesi che sono residenti a Monaco da dopo il 1957. Il giorno 8 febbraio 1869 il Principe Carlo III ha emanato una ordinanza che ha abolito le tassazioni dirette, sia personali che sui beni e sugli affari. Le persone fisiche di nazionalità monegasca o straniera, residenti nel Principato di Monaco, non sono perciò soggette ad alcuna tassazione sui patrimoni personali, qualsiasi origine essi abbiano. C’e’ comunque da ricordare un trattato, la convenzione fiscale franco-monegasca del 18 maggio 1963 la quale stabilisce che le persone di nazionalità francese, che hanno assunto domicilio a Monaco dopo il 18 maggio 1957 o che comunque non possono provare di averlo preso prima di tale data, sono soggette al sistema fiscale francese, alle stesse condizioni delle persone fisiche che hanno il proprio domicilio in Francia.

 

Le successioni e le donazioni
Per quanto riguarda successioni e donazioni, l’imposta si applica solo ai beni siti in Monaco. Sono esenti da imposta sulle successioni o donazioni i beni lasciati o donati a Coniuge, ascendenti o discendenti, comunità locale, ospedali pubblici o organizzazioni di carità, fondazioni private di carità. Negli altri casi l’aliquota di imposta varia a seconda della relazione fra il donante e il donatario o fra il defunto e l’erede (relazione aliquota %: fratelli e sorelle 8; zii, nipoti 10; altri parenti 13; nessuna parentela 16).

La tassazione delle persone giuridiche
Dal 1° gennaio 1963 viene applicata una aliquota del 33,33 per cento sul reddito netto nei seguenti casi:
– imprese estere e locali, cioè società di capitali, sedi secondarie di società estere (branch), società di persone e imprese individuali, impegnate in Monaco in attività industriali o commerciali e con giro d’affari proveniente da operazioni compiute al di fuori del territorio monegasco per almeno il 25 per cento;
– società la cui attività in Monaco consiste nel ricevere ricavi dalla vendita o dalla concessione in licenza di brevetti, marchi, procedimenti industriali/formule e diritti su opere letterarie ed artistiche, senza riguardo alla loro fonte di provenienza.
Conseguentemente le imprese cui si fa riferimento al punto 1, che derivano più del 75 per cento del loro fatturato da fonti monegasche sono esenti da imposte sul reddito. Per quanto riguarda gli uffici di rappresentanza, è previsto un trattamento fiscale molto favorevole che può essere negoziato in anticipo con le autorità monegasche (tax ruling). Di regola gli uffici di rappresentanza dovrebbero essere tassati con riferimento al profitto realizzato da una impresa monegasca che conduce le medesime attività, applicando i prezzi che tale impresa fatturerebbe per i propri servizi a terzi. Nella pratica, data la difficoltà di stabilire tale profitto, gli uffici di rappresentanza vengono generalmente tassati sulla base di un profitto teorico netto, concordato anticipatamente con le autorità monegasche. Il profitto teorico netto viene espresso come una percentuale (al solito dell’8 per cento) delle spese sostenute in loco.

L’imposta sul valore aggiunto
In conseguenza dell’accordo doganale in vigore fra la Francia e Monaco, l’imposta sul valore aggiunto (Tva) si applica nel Principato sulle stesse operazioni e con le medesime aliquote previste dalla legge francese. Monaco è perciò indirettamente soggetta alle previsioni della sesta direttiva comunitaria. L’aliquota ordinaria è del 19,6 per cento. L’aliquota agevolata è del 5.5 per cento.

L’imposta di registro (droit d’enregistrement)
L’imposta di registro si applica sul trasferimento di certi beni siti in Monaco. Si elencano di seguito alcuni esempi di operazioni imponibili: cessione di beni immobili in Monaco 7,5 per cento; cessione di azienda 7,5 per cento; cessione di quote di Sci che detengono immobili a Monaco 6,5 per cento: locazione di immobili per durata illimitata o vitalizia 6,5 per cento; locazione di beni mobli per durata illimitata 1,0 per cento; sottoscrizione di azioni alla costituzione di una società 1,0 per cento; cessione di azioni, quote e titoli negoziali 1,0 per cento. L’imposta di bollo è minima ed è normalmente di ammontare fisso. Tuttavia, nel caso di emissione di azioni e di obbligazioni, l’imposta di bollo è dovuta nella misura dello 0,5 per cento sul valore nominale, aumentato dell’eventuale sovrapprezzo di emissione.

Il trust monegasco
Monaco è uno dei pochi paesi di civil law ad aver introdotto nel proprio ordinamento una legge sul trust. In forza di tale legge, uno straniero nel cui paese di provenienza sia previsto dal sistema legislativo l’istituto del trust è legittimato a costituire un trust per disporre dei propri beni in conformità alla legge del proprio paese. Il trust può essere sia inter vivos che testamentario. L’atto con cui si crea un trust inter vivos è soggetto all’imposta di registro che varia da 1,3 per cento a 1,7 per cento a seconda del numero dei beneficiari nominati nell’atto. In un trust testamentario, l’imposta di successione viene applicata ai beneficiari nella misura ordinaria in cui sarebbe applicata in caso di successioni testamentarie o ab intestato.

Le remboursement du prix d’achat des pièces ne sera pas compris dans cette base d’imposition (il sera comptabilisé dans un compte tiers).

En conséquence :

Le mandataire ne pourra pas récupérer la TVA sur les pièces. C’est le mandant qui pourra récupérer la TVA grevant ces pièces.

L’aliquota marginale dell’imposta sul reddito delle persone fisiche sfiora il 39%

Una persona fisica risulta fiscalmente residente in Lussemburgo se vi ha il domicilio intendendo per tale il luogo di ubicazione dell’abitazione in cui il soggetto vive, in condizioni che lasciano presumere che ivi vivrà anche per il futuro o la dimora abituale, che si presume sia in Lussemburgo laddove il soggetto risieda in tale Paese da almeno sei mesi. Le persone fisiche residenti in Lussemburgo sono tassate sul reddito da esse conseguito, ovunque prodotto. Le principali imposte che colpiscono le persone fisiche sono sul reddito delle persone fisiche e l’imposta sul patrimonio netto. L’imposta sul reddito delle persone fisiche è contraddistinta dall’applicazione di aliquote progressive, secondo la seguente tabella:

Alcune tipologie reddituali sono assoggettate a un regime fiscale di favore; i redditi (dividendi, interessi) derivanti dal possesso di obbligazioni che conferiscono il diritto al percepimento di utili in società residenti in Lussemburgo e ivi soggette a imposta in misura piena, ad esempio, sono imponibili nella sola misura del 50 per cento. L’imposta sul patrimonio netto si applica nella misura dello 0,50 per cento. Le persone fisiche che non sono residenti in Lussemburgo sono tassate sui redditi di fonte lussemburghese.

La tassazione dei redditi delle società residenti
Le principali imposte a cui sono assoggettate le società sono rappresentate dall’imposta sui redditi societari e dall’imposta municipale sull’attività d’impresa. Ai fini dell’imposta sui redditi societari, una società è residente in Lussemburgo se è ivi collocata la sede legale risultante dallo Statuto o quella di direzione effettiva degli affari. I principali soggetti giuridici assoggettati a tale imposta sono i seguenti:
– società di capitali;
– società in nome collettivo;
– società cooperative;
– società di mutua assicurazione;
– organizzazioni senza scopo di lucro.

La base imponibile dell’imposta sui redditi societari è determinata in base alla variazione subìta dal patrimonio netto nel corso dell’esercizio sociale. Più in dettaglio, il reddito tassato è costituito dalla differenza tra le attività nette al termine dell’esercizio e quelle risultanti all’inizio del periodo, opportunamente valutate sulla base dei criteri specifici dettati dal legislatore tributario. L’aliquota d’imposta è pari al 22,88 per cento (costituita dall’aliquota ordinaria del 22 per cento, maggiorata del 4 per cento da destinare al fondo per la disoccupazione). Vige un sistema progressivo delle imposte per le società i cui profitti siano inferiori a 15mila euro, secondo la seguente ripartizione: un’aliquota del 20 per cento per i redditi fino a 10mila euro e un’aliquota del 26 per cento sulla parte di reddito che supera tale limite. L’imposta municipale sull’attività d’impresa si applica ai soggetti che svolgono attività d’impresa residenti in Lussemburgo o aventi una stabile organizzazione in tale Paese. La base imponibile è costituita dal reddito come determinato ai fini dell’imposta sui redditi societari, per la parte che supera 17.500 euro. L’aliquota d’imposta risulta dal prodotto tra il tasso fisso di base (pari al 3 per cento) e il tasso fissato annualmente dal Comune; l’aliquota totale attualmente vigente nella municipalità di Lussemburgo è del 6,75 per cento.

La tassazione dei redditi delle società non residenti
Le società non residenti in Lussemburgo sono tenute al pagamento dell’imposta sui redditi societari limitatamente a specifiche tipologie reddituali individuate dalla legge. Tra di esse, i redditi d’impresa connessi a beni immobili o a stabili organizzazioni in Lussemburgo.

L’imposta sul valore aggiunto
Sono soggetti passivi Iva, in via generale, i soggetti che esercitano professionalmente cessioni di beni e prestazioni di servizi. L’imposta si applica su una base imponibile costituita, normalmente, dal corrispettivo pattuito per la cessione di beni o prestazione di servizi. L’aliquota d’imposta ordinaria è pari al 15 per cento. Sono, inoltre, in vigore le seguenti aliquote:
– 12 per cento che si applica su una serie di beni e servizi indicati dalla legge: tra di essi, i servizi resi da professionisti e i tabacchi;
– 6 per cento applicabile su taluni beni e servizi, tra i quali le forniture di gas e elettricità;
– 3 per cento applicabile, tra gli altri, a libri, periodici, prodotti farmaceutici, prodotti alimentari.

Imposta sui consumi
Alcuni beni e servizi espressamente indicati dalla legge sono soggetti all’imposta sui consumi. Tra di essi, alcol, tabacco e olii minerali.

Dazi doganali
Le imposte doganali sono dovute in caso di importazioni, ovvero di acquisti di beni effettuati da operatori ubicati in Paesi non appartenenti all’Unione Europea. L’importo dovuto viene determinato sulla base delle tariffe doganali.

Una delle opzioni di cui dispongono le imprese per accrescere la loro competitività ed espandere le loro attività nel proprio paese e all’estero consiste nel acquisire un’altra azienda. Le modalità sono tante e possono comportare:

  • un’offerta pubblica di acquisto di una società;
  • l’acquisto della maggior parte delle azioni o di una percentuale di controllo di una società quotata in borsa;
  • l’acquisto delle azioni di una società con l’accordo dei proprietari;
  • la fusione con un’altra impresa, ossia l’unione di due o più imprese in un’unica proprietà (mediante rilevamento di una società o creazione di una nuova).

Le fusioni costituiscono un modo più economico di espandere una società, poiché la procedura non richiede il pagamento in contanti delle attività trasferite dall’impresa assorbita all’altra.

L’UE ha fissato una serie di norme per consentire le fusioni interne e transfrontaliere delle società per azioni, nonché le offerte pubbliche di acquisto. Altre norme riguardano le operazioni di scissione che comportano il trasferimento delle attività dell’impresa frazionata a due diverse società.

Le acquisizioni e fusioni possono essere effettuate avvalendosi dei nuovi tipi di strutture aziendali europee, come la società europea (per azioni), il gruppo europeo di interesse economico e la società cooperativa europea.

Controllo delle fusioni

Le fusioni possono ostacolare o creare distorsioni della concorrenza conferendo all’entità nata dalla fusione una posizione di mercato dominante o un’influenza eccessiva nella catena di produzione o di distribuzione. Ciò può, a sua volta, causare un aumento dei prezzi al consumo, ridurre la scelta del consumatore e frenare l’innovazione.

Laddove il fatturato annuale delle imprese interessate supera una determinata soglia (intesa come percentuale delle vendite complessive e delle vendite in Europa), la Commissione europea deve esserne informata per poter analizzare l’impatto della fusione sulla concorrenza. Le fusioni con fatturati annuali inferiori vengono controllate dalle autorità nazionali garanti della concorrenza.

Le norme sulla fusione si applicano a tutte le imprese che operano nell’UE, a prescindere che la loro sede si trovi all’interno o al di fuori dell’UE.
