Brexit: cambiano i moduli da presentare a Companies House

 A seguito delle modifiche alla Legislazione proposte nella normativa che saranno presto dibattute in Parlamento, saranno aggiornati i seguenti moduli:

• Organi sociali: l’IN01 (company incorporation), LLIN01 (LLP incorporation), AP02 (corporate director appointment), LLAP02 (corporate LLP member appointment), AP04 (corporate secretary appointment), CH02 (change of corporate director details), LLCH02 (change of corporate LLP member details) ed il modulo CH04 (change of corporate secretary details). Queste modifiche sono soggette all’approvazione della normativa del Parlamento. È stato elaborato un progetto di Legge, che è soggetto all’approvazione parlamentare.

• Societas Europaea: modulo CV01 (convertire una societas Europaea in pubblic limited company), SEAP01 (nomina di un membro della supervisory organ of a Societas Europaea), SEAP02 (nomina di un membro del supervisory organ of a societas europaea), SECH01 (cambio dei dettagli del socio del supervisory organ of a societas Europaea), SECH02 (Change the corporate member’s details of supervisory organ of a Societas Europaea), SETM01 (Terminate appointment: member of supervisory organ of a Societas Europaea), SEAS01 (Amend the statutes of a Societas Europaea), SEWU01 (Give notice of insolvency event, cessation of payment procedures, decision to continue operating a Societas Europaea), SEDT03 (Notification of draft terms of conversion of Societas Europaea (SE) to a Public Limited Company (PLC). Le sezioni dei membri aziendali di SECV01 e moduli SE AP02 e SE CH02 saranno modificati allo stesso modo dei moduli IN01, AP02, CH02.

• Gruppo europeo di interesse economico: modulo EEAP01 (Appoint a manager of a European Economic Interest Grouping where the official address is in the UK), EEAP02 (Appoint a corporate manager of a European Economic Interest Grouping where the official address is in the UK), EECH01 (Change the details of a manager of a European Economic Interest Grouping where the official address is in the UK), EECH02 (Change the details of a corporate manager of a European Economic Interest Grouping where the official address is in the UK), EEFM02 (Register an establishment of a European Economic Interest Grouping (EEIG) whose official address is outside the UK), EEMP01 ( Give notice of documents and particulars filed for a European Economic Interest Grouping), EEMP02 (Give notice of setting up or closure of an establishment of a European Economic Interest Grouping whose address is outside the UK), EENM01 (Register an alternative name for a European Economic Interest Grouping (EEIG) whose official address is outside the UK), EENM02 (Register a change of alternative name for a European Economic Interest Grouping (EEIG) whose official address is outside the UK).

Tutti i moduli EEIG esistenti verranno aggiornati nei seguenti modi:

• i riferimenti al GEIE cambieranno in UKEIG;
• I moduli relativi al direttore aziendale EE AP02 e EE CH02 saranno modificati allo stesso modo di AP02 e CH02;
• Sono previste modifiche ai moduli per la notifica di una filiale a un GEIE

L’EE FM01 non esisterà più dopo il 29 marzo 2019.

• Confirmation Statement: Ci saranno modifiche minori ai riferimenti nelle sezioni C1 e C3 del modulo CS01 che fanno riferimento ai mercati regolamentati al di fuori del Regno Unito.

• Fusione transfrontaliere: In base alla normativa che deve essere discussa in Parlamento, tutti i moduli relativi alla fusione transfrontaliera non saranno più validi dopo il 29 marzo 2019.

• SEFM01 (Form a Societas Europaea registered in the UK by merger)
• SEDT01 (File the draft terms of formation of holding Societas Europaea)
• SESC01 (Give notice of formation of holding Societas Europaea)
• SEFM02 (Form a holding Societas Europaea)
• SEFM03 (Form a subsidiary Societas Europaea under Article 2(3))
• SEFM04 (Transform a public limited company to a Societas Europaea)
• SEFM05 (Form a subsidiary Societas Europaea under Article 3(2))
• SETR02 (Transfer a Societas Europaea to the UK)
• SETR01 (Propose transfer of Societas Europaea from the UK)
• SESS01 (Make statement of solvency by members of Societas Europaea)
• SETR03 (Transfer a Societas Europaea from the UK)
• SEDT02 (File draft terms of conversion of a public limited company to a Societas Europaea)
• EEFM01 (Register a European Economic Interest Grouping (EEIG) whose official address is in the UK)
• CB01 (Give notice of a cross border merger involving a UK registered company)
• LLCB01 (Give notice of a cross border merger involving a UK limited liability partnership)
• UNCB01 (Give notice of a cross border merger involving an unregistered company)
